Contributor Talent Pool Terms

1. Purpose and Nature of the Talent Pool

1.1. Candidate Roster Only:

Registration in the Josisoft talent pool registers your professional profile, linguistic proficiencies, tooling background, and contact details in our database for potential matching against current and future AI data projects.

1.2. No Guarantee of Work or Income:

Registration in the talent pool does not guarantee that you will be selected for active projects, assigned tasks, allocated minimum hours, or provided any monetary compensation. Placement depends strictly on client demand, project-specific volume, passing skill benchmarks, and operational requirements.

1.3. No Employment Relationship:

Nothing in these Terms or in your registration shall be construed to create an employment, agency, partnership, joint venture, or collective bargaining relationship between you and Josisoft. Participation in the talent pool is on a non-exclusive, independent freelance applicant basis. You retain the right to seek employment or contract work with third parties at your sole discretion.

2. Applicant Eligibility and Representations

By registering for the talent pool, you represent and warrant to Josisoft that:

2.1. Age Requirement:

You are a legal adult, at least eighteen (18) years of age, with full legal capacity to enter into binding agreements under the laws of your jurisdiction.

2.2. Accuracy of Credentials:

All information provided in your application—including your legal name, contact credentials, geographic residence, educational history, resume/CV, native and secondary language proficiencies, and experience with data platforms (e.g., CVAT, Label Studio, or proprietary annotation tools)—is complete, genuine, and truthful.

2.3. Personal Account Integrity:

You are registering on your own behalf. You shall not register multiple accounts, create duplicate profiles under alternative identities, or permit any third party to access, submit work through, or use your profile.

2.4. Independent Status and Resources:

You operate an independently established trade or business capable of providing freelance services, and you are solely responsible for supplying your own hardware, secure internet connectivity, and operational resources necessary to participate in screening or project workflows.

2.5. Legal Eligibility and Sanctions:

You are legally permitted to render freelance digital services under the laws of your country of residence. You certify that you are not subject to economic sanctions, trade embargoes, or restricted party designations maintained by applicable governmental authorities (including the United Nations, the United States Government, the European Union, or the Government of India).

2.6. Sensitive & Adult Content Awareness:

You acknowledge that generative AI model evaluation and safety red-teaming workflows may involve reviewing sensitive, provocative, or adult content (e.g., assessing policy violations, bias, or safety guardrails). Your decision to qualify for or participate in such specific projects is entirely voluntary.

3. Operational Communications (Email and WhatsApp)

3.1. Permitted Outreach:

By submitting your application with your email address and WhatsApp contact number, you consent to receive direct operational communications from Josisoft personnel and automated recruitment systems regarding:

• Application status updates and profile verifications;
• Skill qualification invitations, benchmark tests, and onboarding instructions;
• Project notifications, capacity requirements, and task scheduling.

3.2. Account Security:

You are responsible for ensuring that the email address and WhatsApp number on file remain active, accessible, and secured against unauthorized third-party access.

3.3. Communication Preferences:

You may opt out of project invitation broadcasts at any time by notifying our recruitment desk in writing. However, opting out of operational communications may prevent us from contacting you regarding time-sensitive project deployments.

4. Screening Assessments and Benchmark Tests

4.1. Uncompensated Evaluations:

Prior to onboarding for active client workflows, Josisoft may require you to complete skill screening assessments, trial annotations, prompt-generation tasks, guideline comprehension tests, or sample evaluations. You acknowledge that these assessments are benchmark evaluations designed solely to verify qualification and proficiency. They do not constitute commercial client deliverables and do not entitle you to compensation.

4.2. Prohibition of Unauthorized AI and Automation:

All screening submissions must reflect your own human intellectual labor. Unless an evaluation explicitly instructs you to evaluate or utilize automated tools, you are strictly prohibited from using third-party artificial intelligence engines, automated large language models (e.g., ChatGPT, Claude), algorithmic rewriters, machine-translation tools, or automated scripts to complete screening tasks. Submitting AI-generated responses for human-evaluation benchmarks constitutes grounds for immediate disqualification.

4.3. Independent Completion:

All tests must be executed personally by you, without delegation, unauthorized third-party assistance, or collaborative answering.

5. Confidentiality of Proprietary Screening Materials

5.1. Definition of Confidential Materials:

In the course of your application and screening, Josisoft may provide access to proprietary evaluation rubrics, sample datasets, instruction guidelines, prompt schemas, and client workflow details ("Screening Materials"). All Screening Materials remain the exclusive intellectual property of Josisoft and its enterprise clients.

5.2. Non-Disclosure Obligations:

You agree to treat all Screening Materials as strictly confidential. You shall not:

• Disclose, distribute, publish, or share Screening Materials with any individual, platform, or organization;
• Capture screenshots, download unauthorized copies, record videos, or replicate test environments;
• Discuss project parameters, client guidelines, or evaluation methodologies on public forums, social media, messaging groups (including public Discord, Telegram, or Reddit channels), or blogs.

5.3. Survival:

Your confidentiality obligations under this Section survive any rejection, deactivation, or withdrawal from the talent pool.

6. Transition to Paid Client Projects

6.1. Independent Contractor Packet:

Inclusion in the talent pool does not entitle you to perform paid client work until you have been selected for an active project and have executed Josisoft's formal onboarding packet, which includes:

• An Independent Contractor Master Agreement governing legal classification and indemnities;
• A comprehensive Project Non-Disclosure Agreement (NDA);
• A formal Statement of Work (SOW) defining task deliverables, quality acceptance thresholds, and payout rates.

6.2. Work-for-Hire and IP Assignment:

You acknowledge that all work product, annotations, prompts, synthetic reasoning traces, metadata, and deliverables generated during active, paid client projects constitute "work made for hire," and all worldwide intellectual property rights therein shall be assigned irrevocably and exclusively to Josisoft and its enterprise clients.

6.3. Payment Logistics:

Compensation terms, payout cycles, and supported third-party payment processors (e.g., Payoneer, Wise, or direct bank transfer) are governed exclusively by the applicable SOW and master service documents.

7. Prohibited Conduct and Anti-Fraud Policies

Josisoft enforces strict operational standards to protect client dataset integrity. The following behaviors are strictly prohibited and constitute grounds for immediate termination and permanent blacklisting:

7.1. Identity Falsification:

Using fabricated names, forged identity credentials, misrepresented geographic locations, or claiming false educational and professional qualifications.

7.2. Location & Network Spoofing:

Utilizing unauthorized Virtual Private Networks (VPNs), residential proxies, TOR nodes, or spoofing software to conceal your physical country or region of operation during intake, testing, or production.

7.3. Multi-Accounting and Pooling:

Operating multiple accounts, pooling accounts across collaborative worker groups, or selling, leasing, or transferring your talent profile to any other individual.

7.4. Subcontracting:

Delegating, outsourcing, or farming out assigned screening tasks or project deliverables to third-party workers or unapproved subcontractors.

8. Removal, Deactivation, and Termination

8.1. Termination at Will:

Josisoft reserves the absolute right to reject any application, decline project matching, or deactivate any profile from the talent pool at any time, for any reason or no reason, without prior notice or liability.

8.2. Termination for Cause:

Any violation of these Terms—including submission of fraudulent data, breach of confidentiality, unauthorized AI usage on human tests, or network spoofing—will result in immediate termination from the talent pool, cancellation of any pending screening, and reporting to relevant industry fraud-prevention databases where legally permissible.

8.3. Voluntary Withdrawal:

You may withdraw your profile from our active talent pool at any time by submitting a written request to talent operations.

9. Intellectual Property of Josisoft

The Josisoft name, logos, website designs, text, graphics, documentation, scoring rubrics, proprietary evaluation methodologies, and underlying software are the exclusive property of Josisoft Technologies and are protected by applicable trademark, copyright, and trade secret laws. Nothing in these Terms grants you any right, title, license, or interest in or to Josisoft’s proprietary brand assets or platforms.

10. Disclaimer of Warranties and Limitation of Liability

10.1. "As-Is" Platform:

The Josisoft talent pool, website intake, and screening systems are provided strictly on an "as-is" and "as-available" basis without warranties of any kind, whether express, statutory, or implied.

10.2. Limitation of Liability:

To the maximum extent permitted by applicable law, Josisoft, its affiliates, directors, officers, employees, and enterprise clients shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost data, hardware malfunction, or missed economic opportunities arising out of or related to your application, participation in the talent pool, or inability to access screening portals.

10.3. Monetary Cap:

In no event shall Josisoft’s total aggregate liability arising out of or related to these Terms exceed the amount of fifty US dollars ($50.00 USD) or the equivalent local currency.

11. Indemnification

You agree to indemnify, defend, and hold harmless Josisoft Technologies, its parent companies, subsidiaries, affiliates, and their respective directors, officers, agents, employees, and enterprise clients against any third-party claims, liabilities, losses, damages, penalties, fines, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Any material breach by you of these Terms or your representations and warranties herein;
• Any infringement, violation, or misappropriation of third-party intellectual property or privacy rights in materials submitted by you;
• Any fraudulent, deceptive, or unauthorized conduct committed by you during intake, screening, or communication.

12. Governing Law and Dispute Resolution

12.1. Governing Law:

These Terms, and any dispute or controversy arising out of or in connection with them, shall be governed by and construed in accordance with the laws of India, without regard to conflict of laws principles.

12.2. Informal Resolution:

In the event of any dispute, claim, or disagreement, the parties agree to first attempt in good faith to resolve the matter informally by providing written notice to the other party, allowing thirty (30) days for negotiation.

12.3. Jurisdiction:

Any legal action, suit, or proceeding arising under or related to these Terms that cannot be settled through informal negotiation shall be brought exclusively in the competent courts located in West Bengal, India, and the parties hereby consent to the personal and subject-matter jurisdiction thereof.

13. Severability and Entire Agreement

13.1. Severability:

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by an authorized court of competent jurisdiction, that provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

13.2. Entire Agreement:

These Terms constitute the entire agreement between you and Josisoft concerning your application to and registration within the talent pool, superseding all prior oral or written communications, understandings, or agreements on this subject.
